Terms of Service
Last updated: 16 October 2026
These terms govern the use of Automate OS, the panel with artificial intelligence agents available at my.automate-os.app (the "Service"). They apply together with the order or proposal signed by the client (the "Order"); if they conflict, the Order prevails.
1. Who provides the Service
The Service is provided by Vuza Alexandru P.F.A., trading as AutoMate PRO (CUI 54526161, EU VAT number RO54770661), registered at B-dul Bucureștii Noi 136, Sector 1, Bucharest, Romania. Email: alex@automate-pro.com. ("AutoMate PRO", "we").
2. Business use only
The Service is reserved for businesses, professionals and organisations acting in the course of their business. It is not offered to consumers. Whoever accepts these terms confirms they have authority to bind the organisation they represent (the "Client").
3. The Service
Automate OS provides artificial intelligence agents that, based on the content and connectors enabled by the Client, read information and prepare drafts, documents, results and automations. Features, usage limits and included connectors are set out in the Order. We may improve and change the Service over time without materially reducing the essential features purchased.
Demo access and pilot periods are provided for evaluation, as is, and may be stopped at any time.
4. Accounts and security
The Client creates accounts for authorised people and is responsible for them. Credentials are personal; two-factor authentication is mandatory. The Client tells us immediately if it suspects unauthorised access.
5. Acceptable use
The Client agrees not to use the Service to:
- break the law, infringe third-party rights or breach the rules of connected services (for example Google, Microsoft or Meta terms);
- send unsolicited commercial communications in breach of applicable rules;
- process special categories of data or children's data without a suitable legal basis;
- circumvent technical limits, access other clients' data or compromise the security of the Service.
6. Artificial intelligence: what to know
Output produced by the agents is generated automatically and may be incomplete or wrong. The Client checks it before use and remains responsible for decisions and for communications to third parties: you review the drafts and you decide what to send. The Client informs its users and, when required by Article 50 of the AI Act, third parties that they are interacting with an AI system.
If the Client chooses an external model with its own account (API key or subscription), the relationship with that provider, consumption costs and compliance with its terms are the Client's responsibility. Keys are stored encrypted and used only to run the Client's requests.
7. Client data
Content uploaded, generated or read through connectors on behalf of the Client remains the Client's. The Client grants us the right to process it only to provide, protect and support the Service. We do not use it to train models and do not share it with third parties other than the providers listed in the privacy policy.
For personal data contained in Client data, the Client is controller and AutoMate PRO is processor under Article 28 GDPR. These terms, the Order and section 6 of the privacy policy form the data processing agreement: the Client authorises the sub-processors listed there and will be informed at least 15 days in advance of new sub-processors, with the right to object on reasonable grounds.
8. Fees and invoicing
Fees, billing frequency and payment terms are set out in the Order. Invoices are issued by Vuza Alexandru P.F.A.; for clients with a VAT number in another EU Member State the supply is subject to the reverse charge mechanism and any VAT is accounted for by the Client in its own State. If payment is more than 15 days overdue, after a written reminder, we may suspend the Service until payment.
9. Term, termination and suspension
The term is set out in the Order. Unless agreed otherwise, either party may terminate with 30 days' written notice. We may suspend access with immediate effect in case of a serious breach of section 5 or a security risk, informing the Client and limiting the suspension to what is necessary.
10. Switching and data portability
In line with Regulation (EU) 2023/2854 (Data Act), the Client may at any time ask to switch to another provider or to its own infrastructure with a maximum notice period of two months. The company owner can export all data (conversations, results, documents, memory, automations, settings and log) in a structured format from Settings, "Your data"; on request we assist during a 30-day transition period. Export and switching involve no additional charges.
After termination the data remains available for export for 30 days and is then deleted, including backups within the following 14 days, unless the law requires otherwise.
11. Intellectual property
The software, agents, automation templates and the Automate OS brand remain AutoMate PRO's. The Client receives a non-exclusive, non-transferable right to use them for the term of the contract. Output generated for the Client from its data may be used freely by the Client.
12. Confidentiality
Each party keeps confidential the non-public information received from the other and uses it only to perform the contract, also for 3 years after it ends. We do not use the Client's name or the work done for it in promotional material without its written consent.
13. Warranties and limitation of liability
We provide the Service with due professional care, but we do not warrant that it will be uninterrupted or error-free, or that the output generated by the agents will be accurate or fit for a particular purpose.
To the extent permitted by law, AutoMate PRO's total liability to the Client for all claims arising from the contract is limited to the fees paid by the Client in the 12 months before the event giving rise to the damage. We are not liable for loss of profit, loss of opportunity or indirect damage. These limitations do not apply in case of wilful misconduct or gross negligence or to personal injury, as provided by Article 1355 of the Romanian Civil Code and Article 1229 of the Italian Civil Code.
14. Changes to the terms
We may change these terms by giving notice by email or in the panel at least 30 days in advance. If the Client does not accept the changes, it may terminate without charge before they take effect.
15. Governing law and jurisdiction
The contract is governed by Romanian law. The courts of Bucharest, Romania, have exclusive jurisdiction over any dispute, unless otherwise agreed in writing.
16. Specific approval of clauses
Under Article 1203 of the Romanian Civil Code and Articles 1341 and 1342 of the Italian Civil Code, the Client specifically approves in writing, when signing the Order, the following clauses: 3 (changes to the Service and demo access), 8 (suspension for non-payment), 9 (termination and suspension), 13 (limitation of liability), 14 (changes to the terms) and 15 (governing law and exclusive jurisdiction).
